Plan ahead: whilst revising articles of association and shareholders’ agreements is not a particularly glamorous activity, failing to adequately future-proof your business can be far more expensive and time consuming further down the line. Think of a well-considered set of articles and shareholders’ agreements as a form of insurance policy.
Can we simply adopt Model Articles for our business?
In principle, yes, but the Model Articles are almost never fit for purpose. For example, regulation 14 of the Model Articles says a director cannot form part of a quorum on any decision which relates to themselves, or their connected parties, unless approved by shareholders. If this article is not amended, any decision made in breach of the above is rendered invalid.
Will involving a solicitor create more problems?
