

A UK-based Almshouse charity approached us for advice on converting from a charity to a charitable incorporated organisation (CIO). The HCR team has advised throughout the process including drafting the new governing document for the organisation and drafting the Charity Commission application. We are also dealing with the transfer of assets and liabilities from the unincorporated charity into the new CIO.
The CIO has now been registered, and we are therefore dealing with the transfer of assets (including the almshouses) in conjunction with our property colleagues. This has included drafting a vesting declaration to deal with the permanently endowed assets. We are also working alongside colleagues in our employment team to deal with the transfer of existing employees to the new CIO.
Thanks to the team’s experience in almshouses and the ability to advise on all aspects required during the matter, the conversion has been smooth, allowing the organisation to move forward as a CIO.
