Statutory registers are records of a company which are legally required to be maintained. They include details of the current and former owners and directors of the company.
Legal due diligence is the process whereby a buyer of shares investigates the target company. Information a buyer will ask for is likely to include, but not is not limited to: – The owner of the shares – The corporate structure of the target company – The commitments and liabilities of the target – The target company’s assets, contracts and employees – Any ongoing or potential disputes.
