About me

Taking the time to get to know you and what drives you is key to achieving a successful outcome. Providing a top-quality service to clients is at the heart of what I do as a corporate lawyer.

I work with businesses across all sectors including veterinary practices, care providers, pharmacies and health service providers. My specialisms include mergers and acquisitions, joint ventures, shareholder agreements and governance support, and solvent restructuring.

Outside work I enjoy spending time with my family including my young daughter, being outdoors and exploring the lovely Worcestershire county!

Provide us with as much information as possible; it’s our job to work through this information for you and use what is needed. There may be information which you do not think is relevant but could be key to a transaction so don’t leave anything out.

Let us help you be prepared – the earlier you can get us involved, the better. We will work with you to formulate an action plan and make sure any points that need to be resolved ahead of a transaction have been addressed - hopefully resulting in a smoother process once third parties are involved.

What are the key stages of a transaction?

Each transaction is different depending on the commercial agreement reached between the parties, but essentially these can be broken down into:

1. Preliminary documents (heads of terms, exclusivity, and confidentiality agreements)
2. Due diligence
3. Negotiation of key documents (purchase agreement, disclosure letter, ancillaries)
4. Completion

When should we engage lawyers in a sales process?

As early as possible. If you are looking for a sale, we can work with you to ensure you and the business are fully prepared for a sale by way of a pre-sale support. We also have great relationships with a number of financial advisors (including corporate finance) and are more than happy to make introductions.

We also like to be involved at the early stages of negotiations, including heads of terms, to ensure key terms are agreed at the outset of a transaction and that parties are aligned.
