Can I repay/prepay the loan early without penalty?
As part of our review of the facility agreement, we can advise on the extent of any prepayment fees and break costs, and when is the best time to prepay a loan to minimise the fees and costs.
The bank has asked me to sign a personal guarantee in support of the proposed loan facility to my company. If you’re acting for my company, are you also able to advise me personally on the guarantee?
We don’t have a conflict advising you in your capacity as a director when we are also acting for the company, but if your spouse is also required to provide a personal guarantee to the bank and they aren’t actively involved in the company, we would be unable to act. They would have to advise your spouse to seek independent legal advice from another firm of solicitors.
Will my new lender accept a simple noting of its interest as mortgagee being endorsed on the company’s buildings insurance policy or will it insist on composite/co-insurance?
It depends on the lenders’ insurance requirements, as set out in the insurance undertakings in the facility agreement/security documents, and the total amount of the facilities being made available. Composite/co-insurance cover doesn’t always result in an increased premium.
