Digital services provider acquires software provider in buy and build deal

HCR Legal have advised Actica Consulting, a Surrey-based leading business and technical consultancy firm, in relation to the acquisition of Gemba Advantage, a high-impact software provider based in London and Cheltenham.

HCR’s Corporate team was led by Corporate Partner David James alongside Associate Matt Montgomery and other members of the team. Legal due diligence and regulatory advice was provided by the HCR BRICS team, which supports businesses with risk, investigation, compliance and secretarial matters.

Actica’s acquisition, the second since Sovereign Capital Partners’ investment in 2022, will leverage Gemba’s expertise to bolster its design, build and maintenance of systems for government clients.

The deal means Actica can continue their growth plans – part of a “buy and build” journey with Sovereign Capital Partners.
