HCR Law has advised the owners of specialist technology and change recruitment business Nicoll Curtin on the sale of its operations across the UK, Ireland, Switzerland, Serbia, Singapore and the Philippines to Sanderson Solutions Group.
The cross-border transaction represents an important step in Sanderson’s international growth strategy, strengthening its presence in Singapore and Ireland while expanding its footprint across Europe and Asia. Nicoll Curtin brings more than 25 years of experience in technology and change recruitment, alongside established client relationships and operations across international markets.
HCR Law’s Corporate team acted for sellers Neil Clark, Derek Johnson and Linda Johnson and was led by Laurence Evans, Corporate Partner and Head of the Cambridge Corporate team, supported by Associate Monty Chamberlain and Solicitor Katie Standen.
With operations spanning several jurisdictions, the transaction required the team to support the sellers through the complexities of an international deal and co-ordinate the sale across multiple markets.
Neil Clark, Group CEO at Nicoll Curtin, said: “Navigating the sale of an international business across multiple continents requires a legal team you can trust implicitly. Monty, Lawrence and Katie were exceptional from start to finish; handling negotiations in a timely and professional manner and keeping the whole process remarkably stress-free. My biggest frustration with legal matters and advisors is unnecessary posturing and overly complex legalese, but they completely transcended that. They spoke my language, focused on practical solutions and kept me informed when I needed to be. I am immensely grateful for their support and would not hesitate to recommend them and work with them again.”
Laurence Evans said: “We were delighted to work with Neil and his team to manage the successful sale of a business with operations spanning multiple continents. This was a genuinely international transaction, and it was particularly rewarding to support the shareholders through the complexities that come with a deal involving several jurisdictions. We are undertaking more cross-border work as the value and expertise within successful UK businesses continues to attract international interest.”
The sale marks an important milestone for Nicoll Curtin and its shareholders, following more than 25 years of building the business and its presence across international markets.
