HCR Law has advised Amcomri Group plc (AIM: AMCO) on the sale of its wholly owned subsidiary, Premier Limpet Limited, to Dalpo Group UK Limited, a wholly owned subsidiary of Polish packaging specialist Dalpo Poznań sp. z o.o.
Premier Limpet is the UK’s largest independent manufacturer of printed and plain adhesive tape, producing approximately 40 million square metres of tape annually from manufacturing facilities in Cambridgeshire and Hertfordshire.
The transaction sees Premier Limpet join a major European player in the adhesive tape market, providing the business with significant opportunities for further growth and expansion, while enabling Amcomri to realise a substantial return on its investment and continue executing its acquisition strategy.
The disposal delivers an initial consideration of £10.1 million, with the potential for additional consideration linked to future EBITDA performance.
Mark O’Neill, Chief Operating Officer at Amcomri Group Plc: “A huge thank you to Derek Callanan and Jenna Ostrowski, as well as the wider Corporate cross-sector team at HCR, for their support in getting this deal completed. We have a strong relationship with HCR, who consistently bring an efficient, commercial, and pragmatic approach to acquisition support. The team was always responsive to timelines and navigated the legal complexities of this transaction seamlessly, helping to ensure a smooth process.”
Derek Callanan, Corporate Partner who led the deal alongside Corporate Partner Jenna Ostrowski, added: “We were delighted to support Amcomri on this transaction. The sale reflects the significant value created within Premier Limpet since its former acquisition (which we also advised on) and underlines the strength of Amcomri’s investment strategy.
“It was a pleasure working alongside the Amcomri team to help deliver a successful outcome which positions both organisations strongly for the future.”
Derek Callanan and Jenna Ostrowski, HCR Law’s Corporate Partners, were supported by Mark Edwards and Ayisha Ayub in the Corporate team and specialists from across in the wider HCR Law team, Rowena Kay, Legal Director, Employment, HR and Immigration, Real Estate Partner, Ben Thomas and Sarah Rupp, Associate in the Banking and Finance team.
The HCR Law team advised Amcomri throughout the transaction, supporting the Group in achieving a strategic disposal that will enable continued investment in high-quality engineering and industrial businesses across the UK and Ireland.
